Designated partner: role, eligibility and liabilities in an LLP
A designated partner is an LLP partner responsible for its legal compliance. Every LLP needs at least two, including one resident in India.
Short answer
A designated partner is a partner of a limited liability partnership who is responsible for the LLP's compliance with the LLP Act, 2008. Under section 7, every LLP must have at least two designated partners who are individuals, at least one of whom is resident in India, and each needs a DPIN.
- Governed by
- Sections 7 to 9, LLP Act 2008
- Minimum
- Two individuals
- Resident requirement
- At least one designated partner resident in India
- Change filing
- Form 4 within 30 days
Who can be a designated partner
Any individual partner who gives prior consent in Form 9 can be named a designated partner in the incorporation document or later by agreement. If a body corporate is a partner, it can nominate an individual as its designated partner. Every designated partner must obtain a DPIN, and an existing DIN serves the purpose. A resident in India for this purpose is a person who has stayed in India for at least 120 days in the financial year, after the 2021 amendment.
Responsibilities
Under section 8, designated partners are responsible for doing everything the LLP must do under the Act, and they are liable to penalties for the LLP's defaults. Their main duties include the following recurring compliance tasks.
- Filing Form 11, the annual return, by 30 May
- Filing Form 8, the statement of account and solvency, by 30 October
- Maintaining books of account and getting them audited where required
- Filing changes in partners or registered office
- Ensuring DIR-3 KYC of their own DPIN
Why it matters for founders
If the number of designated partners falls below two, or the resident requirement is not met, the LLP and every partner can face penalties. New designated partners must be appointed within 30 days of a vacancy and reported in Form 4. When planning a foreign-owned LLP, line up a resident designated partner before incorporation.
