Short answer

LLP registration needs PAN and an address proof for every partner, a passport for foreign partners, a utility bill under two months old for the office and Class 3 DSCs for designated partners. You reserve the name through RUN-LLP for ₹200, file FiLLiP with partner consents, then file the signed LLP agreement in Form 3 within 30 days of incorporation.

2 designated partners, one resident in India

RUN-LLP, ₹200
Name validity

FiLLiP fee

LLP Act, 2008

What do partners need to submit?

Each partner and designated partner provides identity proof (PAN for Indians, passport for foreign nationals), a recent address proof and a photograph. A designated partner without a DPIN can get one through FiLLiP for up to two individuals. Body corporate partners need a board resolution authorising their nominee plus their incorporation certificate.

At least two designated partners must be individuals, and at least one of them must be resident in India. Every partner also signs a consent in Form 9 to act as a designated partner.

  • PAN (Indian partners) or passport (foreign partners)
  • Aadhaar, voter ID or driving licence
  • Bank statement or utility bill in own name
  • Photograph, email and mobile number
  • Class 3 DSC for designated partners
  • Form 9 consent

What office and LLP documents are needed?

The registered office proof is the same as for a company: a utility bill not older than two months and either a rent agreement or an NOC from the owner. A subscription sheet showing each partner's capital contribution is attached to FiLLiP.

The LLP agreement is not filed with FiLLiP. It is executed on stamp paper after incorporation and filed in Form 3 within 30 days. Stamp duty on the agreement depends on the state and the contribution amount.

  • Utility bill (≤ 2 months old)
  • Rent agreement or owner's NOC
  • Subscriber sheet with contributions
  • LLP agreement on stamp paper (after incorporation)

What are the government fees?

RUN-LLP costs ₹200 and the approved name stays reserved for three months. The FiLLiP fee depends on total contribution, as below. Form 3 attracts a filing fee based on contribution, and late filing carries an additional fee for each day of delay, so file promptly.

Total contributionFiLLiP fee
Up to ₹1 lakh₹500
₹1 lakh to ₹5 lakh₹2,000
₹5 lakh to ₹10 lakh₹4,000
Above ₹10 lakh₹5,000

What should the LLP agreement cover?

Without a filed agreement, the default rules in the First Schedule of the LLP Act apply, which give partners equal shares and may not suit you. Draft clauses on contribution and profit share, admission and exit of partners, decision-making, designated partner duties, restrictions on competing business, and dispute resolution. Keep the agreement consistent with the contribution shown in FiLLiP.

Which compliance starts after registration?

Every LLP files Form 11 (annual return) by 30 May and Form 8 (statement of accounts and solvency) by 30 October each year, even with no business. Audit is required only when turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh. Missed filings attract ₹100 per day per form, which adds up quickly.

Timeline and common mistakes

Once documents are ready, the name approval and FiLLiP processing usually move in sequence, and the only hard deadline after incorporation is Form 3 within 30 days. Plan the LLP agreement draft while FiLLiP is pending so it can be signed and stamped the week the certificate arrives.

Most delays come from avoidable errors rather than MCA backlogs. Each resubmission adds days, and a name approval can lapse while you fix documents. Check every item against the list below before filing.

  • Partner name on PAN differs from Aadhaar or DSC
  • Utility bill older than two months or address mismatch
  • Name too similar to an existing LLP, company or trademark
  • Contribution in agreement differs from FiLLiP
  • Missing owner NOC for a rented or family property
  • Form 3 filed after 30 days, attracting daily additional fees

Attach office proof, Form 9 consents and subscriber sheet; pay the fee.

  6. 6Receive certificate

The certificate of incorporation shows the LLPIN; PAN and TAN follow.

Execute the LLP agreement on stamp paper and file Form 3 within 30 days.

Common questions

Can an LLP have only one partner?

No. An LLP needs at least two partners at all times. If it runs with a single partner for more than six months, that partner can become personally liable.

Is the LLP agreement mandatory?

The Act lets the First Schedule apply if there is no agreement, but in practice every LLP should file one in Form 3 within 30 days. Banks and investors will ask for it.

Can a company be a partner in an LLP?

Yes. A body corporate can be a partner through a nominee, but designated partners must still include at least two individuals.

How long does LLP registration take?

Timelines depend on MCA processing and resubmissions. Clean documents and a distinctive name avoid most delays.
