Documents Required for Private Limited Company Registration in India (2026 Checklist)

Checklist of documents for private limited company registration: director KYC, office proof under 2 months old, DSC, MoA/AoA and SPICe+ forms.

Short answer

To register a private limited company you need, for each director and subscriber, PAN, Aadhaar or passport, a recent address proof and photograph, plus a utility bill no older than two months and an owner's NOC for the registered office. Directors sign with Class 3 DSCs. SPICe+ then generates the MoA, AoA, PAN, TAN and incorporation certificate together.

What documents does each director and shareholder need?

Every proposed director and subscriber must give identity and address proof. Indian nationals use PAN as the primary identity document, backed by Aadhaar, a passport, voter ID or driving licence. Address proof should be a recent bank statement, utility bill or mobile bill in the person's own name, usually not older than two months.

Foreign nationals and NRIs use a passport as identity proof and an overseas address document. Documents signed or issued abroad must be notarised and apostilled (or consularised where the country is not in the Hague Convention). A director without a DIN gets one through SPICe+ itself, for up to three directors.

  • PAN card (mandatory for Indian nationals)
  • Aadhaar, passport, voter ID or driving licence
  • Bank statement or utility bill in own name, recent
  • Passport-size photograph
  • Email ID and mobile number for each person
  • Class 3 Digital Signature Certificate

What proof is needed for the registered office?

The registered office can be owned, rented or a family property, and a home address is acceptable. MCA wants proof that the company has a right to use the address and that the address is real. If you rent, attach the rent agreement; if a relative owns it, a simple NOC from the owner works.

The utility bill must show the full address exactly as typed in SPICe+. Mismatched pin codes, missing flat numbers and bills older than two months are the most common reasons for a resubmission request.

  • Electricity, water, gas or telephone bill not older than 2 months
  • Rent or lease agreement (if rented)
  • No-objection certificate from the property owner
  • Property tax receipt or sale deed (useful where available)

Which company documents are generated during filing?

The Memorandum of Association (e-MoA, INC-33) and Articles of Association (e-AoA, INC-34) are drafted online. The main object clause should describe what the company will actually do, because banks, GST officers and licensing authorities read it. SPICe+ Part B also carries AGILE-PRO-S, which applies for GSTIN (optional), EPFO, ESIC, professional tax in some states and the company bank account.

Subscribers and directors sign these forms with their DSCs, and the professional certifying the filing (a practising CA, CS or CMA) adds a declaration in INC-8 and the DIR-2 consent of each director is attached.

FormPurpose
SPICe+ Part AName reservation
SPICe+ Part B (INC-32)Incorporation, DIN, PAN, TAN
INC-33 / INC-34e-MoA and e-AoA
AGILE-PRO-S (INC-35)GST, EPFO, ESIC, bank account
INC-9Subscriber and director declarations

What does registration cost in government fees?

Name reservation costs ₹1,000 per application. MCA charges no filing fee on SPICe+ for companies with authorised capital up to ₹15 lakh. Stamp duty on the MoA and AoA is payable online and depends on the state and the authorised capital, so it varies widely. PAN and TAN are issued without a separate fee. DSCs are bought from licensed certifying authorities at market prices.

What do you need right after incorporation?

Within 180 days the company must file INC-20A declaring commencement of business, which requires each subscriber's share money to be deposited in the company's bank account first. Keep the bank statement showing receipt of subscription money. The board should appoint the first auditor within 30 days of incorporation and hold its first meeting within the same window.

Common questions

Can I use my home address as the registered office?

Yes. A residential address is allowed if you attach a recent utility bill and an NOC from the owner. Check your housing society rules and local laws separately, because MCA does not examine them.

Do foreign directors need apostilled documents?

Yes. Identity and address proofs executed abroad must be notarised and apostilled, or consularised if the country is outside the Hague Convention. At least one director must be resident in India.

Is a DSC mandatory for all subscribers?

Yes, every person signing the incorporation forms needs a valid Class 3 DSC. The DSC name should match PAN records to avoid rejection.

How old can the address proof be?

Personal address proofs and the office utility bill should normally be not older than two months. Older documents are a frequent reason for resubmission.
