How to Appoint a New Director in a Private Limited Company (DIR-12 Process)

Appointing a director: DIN, DIR-2 consent, DIR-8 declaration, board or shareholder resolution and DIR-12 filing with the ROC within 30 days.

Short answer

To add a director, confirm the AoA allows it, get the person's DIN, DIR-2 consent and DIR-8 non-disqualification declaration, then pass a board resolution appointing them as an additional director (or a shareholder resolution). File DIR-12 with the ROC within 30 days. Additional directors hold office only until the next AGM unless shareholders regularise them.

What are the routes to appoint a director?

The board can appoint an additional director under section 161 if the AoA allows; that person holds office until the next AGM or the last date for holding it, and must be regularised by an ordinary resolution of shareholders. Shareholders can also appoint a director directly at a general meeting. The board can fill a casual vacancy, and nominee directors are appointed under investor agreements and the AoA.

What documents does the new director sign?

The appointee needs a Director Identification Number. If they don't have one, apply through DIR-3 with an Aadhaar or passport and a DSC. They give written consent in DIR-2 and declare in DIR-8 that they are not disqualified under section 164. They also disclose their other directorships and interests in MBP-1 at the first board meeting they attend.

  • DIN (or DIR-3 application)
  • DIR-2 consent to act
  • DIR-8 non-disqualification declaration
  • MBP-1 disclosure of interest
  • PAN and address proof
  • DSC for future MCA filings

What does the company file?

Within 30 days of the appointment, the company files DIR-12 with the board resolution, DIR-2 and proof of DIN. If shareholders approved the appointment, MGT-14 is needed only for public companies or special resolution cases, not for a routine private company ordinary resolution. Update the register of directors and KMP and the company's letterhead and bank mandate where the person will sign.

What eligibility rules apply?

Every company must have at least one director who stayed in India for 182 days or more in the previous year. A person can hold up to 20 directorships, of which no more than 10 in public companies. Directors whose DIN is deactivated for missing the DIR-3 KYC filing, now required once every three financial years, cannot be appointed until they regularise it.

Common mistakes

Frequent errors include appointing someone before checking the AoA allows additional directors, missing the 30-day DIR-12 window (late fees scale with delay), and forgetting to regularise an additional director at the AGM, which ends their term automatically. Foreign directors also need apostilled documents to obtain a DIN.

Which director types need extra care?

An independent director is not required in a private company. Executive or whole-time directors who will draw a salary need the appointment terms approved under the AoA and recorded in board minutes, and their pay is subject to TDS as salary. A non-executive director paid sitting fees is treated differently for tax. Investor nominee directors usually come with a right to attend every board meeting, so check quorum clauses in the shareholders' agreement before scheduling meetings.

Timeline for a typical appointment

A clean appointment with a person who already has a DIN can be completed within a few days. A new DIN application adds time for DIR-3 processing. Count the 30-day DIR-12 window from the date of the board or shareholder resolution.

Common questions

Can a foreign national be a director?

Yes. They need a DIN, which requires apostilled identity and address proofs. The company must still have at least one resident director.

Is shareholder approval always needed?

Not for an additional director, who the board can appoint if the AoA permits. Shareholders must regularise the appointment at the next AGM.

What is the DIR-12 late fee?

Additional fees apply based on the length of delay under the Registration Offices and Fees Rules. File within 30 days to avoid them.

Can a director be appointed with retrospective effect?

No. Appointment takes effect from the date of the resolution, and DIR-12 must reflect the actual date.
