DIR-3 KYC and DIR-3 KYC Web: Director KYC Under the 2026 Rules
DIR-3 KYC is now filed once every three financial years by 30 June, with a ₹500 update within 30 days of any change. Late filing or reactivation ₹5,000.
Short answer
From 31 March 2026, every DIN holder files director KYC once every three consecutive financial years, on or before 30 June, using the single DIR-3 KYC Web form. Directors who completed KYC for 2025-26 next file by 30 June 2028. Any change in mobile number, email or residential address must be updated within 30 days for ₹500. Late filing or DIN reactivation costs ₹5,000.

What changed in 2026
Until 2025, every DIN holder filed DIR-3 KYC or DIR-3 KYC Web every year by 30 September. The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025, notified as G.S.R. 943(E) on 31 December 2025 and effective from 31 March 2026, replaced that annual exercise with a filing once every three consecutive financial years, due by 30 June of the relevant year.
MCA has also merged the earlier e-form DIR-3 KYC and the DIR-3 KYC Web service into a single web form. Draft forms left pending under the old system were cancelled, and fresh filings are made under the new framework.
When is your next KYC due?
For directors who completed KYC for FY 2025-26, ICAI's update states the next filing is due by 30 June 2028. Directors allotted a DIN more recently follow the three-year cycle from their own position as on 31 March, and published guidance indicates their first periodic filing falls in a later year. Check your DIN status on the MCA portal for the exact year.
Separately, Rule 12A(2) requires a director to update KYC within 30 days whenever their mobile number, email address or residential address changes. Such mid-cycle updates do not reset the three-year cycle.
Fees under the 2026 amendment
The fees were set by the Companies (Registration Offices and Fees) Amendment Rules, 2026, notified as G.S.R. 300(E) on 21 April 2026, which substituted item VII of the annexure dealing with DIR-3 KYC Web. On-time periodic filing is free, while late filing, reactivation and change updates carry fees.
| Filing | Fee |
|---|---|
| Periodic KYC filed within the Rule 12A(1) timeline | Nil |
| Filed after the timeline, or to reactivate a deactivated DIN | ₹5,000 |
| Update for change in mobile, email or address | ₹500 per filing |
Details and verification
The form confirms the director's personal details against PAN and records a personal mobile number and email address, each verified by OTP. The director signs with their own DSC. Use contact details that the director personally controls, not a company or consultant's number, because MCA uses them for future communication.
Note that DIR-3 KYC relates to the individual, not to any company. A person who is a director in several companies files once for the DIN, and a DIN holder who has ceased to be a director in all companies still has to keep KYC current while the DIN remains active, unless the DIN is surrendered.
Foreign nationals holding a DIN follow the same cycle and use passport details for identity. Keep the residential address current, since it is one of the triggers for a mandatory update.
Consequences of not filing
A DIN for which KYC is not filed within the due date is deactivated on the MCA system. A director with a deactivated DIN cannot be appointed to a new company and companies face difficulty filing forms that require that DIN. Reactivation requires filing the KYC with the ₹5,000 fee.
Common mistakes include using a shared mobile or email, expired DSCs, a PAN name that does not match MCA records, and forgetting the 30-day update after moving house. Refogo's partner professionals can file DIR-3 KYC for a fixed fee.
