DIN (Director Identification Number): meaning, rules and KYC
DIN is the unique 8-digit number every company director in India needs. It is valid for life, and DIR-3 KYC is now filed once every three years by 30 June.
Short answer
A DIN (Director Identification Number) is a unique eight-digit number that every individual must hold before being appointed a director of an Indian company. It is issued once, stays valid for life, and links the person to all their directorships on the MCA database. A person cannot hold more than one DIN.

How to get a DIN
For a new company, DINs for up to three proposed directors can be applied for within the SPICe+ incorporation form. For an existing company, a person applies in Form DIR-3 with a digital signature, identity and address proof, and a photograph. Foreign nationals can obtain a DIN using their passport and notarised or apostilled documents. The DIN is approved by the Central Registration Centre after verification.
DIN KYC and changes
Under G.S.R. 943(E) dated 31 December 2025, effective 31 March 2026, every DIN holder files DIR-3 KYC once every three consecutive financial years by 30 June, instead of annually. If the holder's mobile number, email or residential address changes, the details must be updated within 30 days.
If KYC is not filed, the DIN is marked deactivated and the person cannot be appointed or file forms as a director until the KYC is completed with the late fee.
Why it matters for startups
Investors joining your board, nominee directors and independent directors all need a DIN before appointment. Plan for the time it takes a foreign investor's nominee to gather apostilled documents. Also note that directors of companies that fail to file financial statements or annual returns for three continuous years can be disqualified under section 164 for five years, which affects every board they sit on.

What happens if DIR-3 KYC is missed?
The DIN is deactivated until KYC is filed with the prescribed late fee. The director cannot sign MCA forms while it is deactivated.
