How to File DIR-3 KYC: New Three-Year Cycle and 30-Day Update Rule (2026)

Short answer

Every DIN holder now files DIR-3 KYC Web once every three consecutive financial years, by 30 June of the relevant year, under amendments effective 31 March 2026. If a director's mobile number, email or residential address changes in between, they must update it through DIR-3 KYC Web within 30 days. Missing a filing deactivates the DIN until the KYC is completed with the prescribed fee.

What changed in 2026?

Until March 2026, every DIN holder filed DIR-3 KYC or DIR-3 KYC Web every year by 30 September. The Companies (Appointment and Qualification of Directors) Amendment Rules, notified by G.S.R. 943(E) on 31 December 2025 and effective 31 March 2026, moved to a three-year cycle with a 30 June due date. The two earlier forms were merged into a single DIR-3 KYC Web form. Drafts of the old forms pending at the changeover were cancelled and need fresh filing.

When is my next filing due?

The cycle is counted from DIN status as of 31 March 2026. Commentaries on the new rules illustrate it this way: a director who completed KYC for financial year 2025-26 next files between April and June 2028, while a director whose DIN was allotted during 2025-26 next files between April and June 2029. Check your own due year on the MCA portal before relying on these examples.

What is needed to file?

DIR-3 KYC Web verifies the director's identity and contact details against MCA records. Keep the following ready, and make sure the mobile number and email are personal to the director, because OTPs are sent to both.

  • DIN and PAN
  • Personal mobile number and email for OTP
  • Residential address
  • Aadhaar or passport details
  • Class 3 DSC of the director, where required for the update

Who must file?

Every individual holding a DIN must file, whether or not they are currently a director of any company, including disqualified directors. Designated partners of LLPs who hold a DIN are also covered. A person who no longer needs a DIN can apply to surrender it instead, subject to conditions, which removes the KYC obligation.

What happens if you miss it?

The DIN is marked 'Deactivated due to non-filing of DIR-3 KYC'. A director with a deactivated DIN cannot be appointed and cannot sign company filings, which can hold up board decisions, fundraising and annual returns. Filing DIR-3 KYC Web with the prescribed fee reactivates the DIN. Missing the 30-day update for a change in mobile, email or address can also attract penalties and deactivation; an update does not reset the three-year cycle.

Why companies should track this

A company cannot file most MCA forms if a signing director's DIN is deactivated. Keep a register of each director's DIN, KYC filing year and contact details, and remind directors well before 30 June of their due year. Also ask directors to tell the company secretary whenever they change their phone number, email or home address, so the 30-day update is not missed. When onboarding a new director, confirm their KYC status before appointment so that DIR-12 is not rejected.

Common mistakes

Using a company or consultant's phone number or email instead of the director's own, assuming the old 30 September date still applies, and ignoring the 30-day update after moving house are the common traps. Companies should track each director's cycle in their compliance calendar.
