How to start a digital marketing agency in India: registrations and licences

Digital marketing agency setup in India: LLP or company, GST at 18%, pure agent rules for media spend, TDS and influencer disclosure rules.

Short answer

A digital marketing agency in India usually starts as an LLP or private limited company with GST registration, a shop and establishment registration and professional tax where applicable. Agency services carry 18% GST. How you bill client ad spend matters: as a pure agent you can exclude reimbursed media cost from your taxable value. Influencer campaigns must follow disclosure rules.

Which structure fits an agency?

Two or three partners building a service agency often choose an LLP: limited liability, flexible profit sharing and no requirement for a statutory audit until turnover crosses ₹40 lakh or contribution crosses ₹25 lakh. A private limited company suits agencies that want investors, ESOPs or an eventual sale.

A solo consultant can begin as a proprietor, but agencies that handle large client budgets benefit from limited liability, because disputes over campaign performance or ad account suspensions can lead to claims.

Registrations for a digital marketing agency

There is no licence to practise digital marketing in India. Registrations are corporate, tax and local, and the main regulatory exposure comes from advertising, consumer and data protection rules rather than licensing.

GST on fees and ad spend

Strategy, creative, SEO, social media management and performance marketing fees attract 18% GST. The tricky part is media spend. If the agency buys ads in its own name and recharges the client, GST generally applies on the full amount. If the agency acts as a pure agent, with a contract authorising it to pay on the client's behalf, the client's ownership of the expense, separate invoice lines and recovery at actual cost, the reimbursement can be left out of the taxable value.

Many agencies avoid the issue by having clients pay platforms like Google and Meta directly, with the agency billing only its fee. The 6% equalisation levy on online advertising paid to non-residents was abolished from 1 April 2025.

Influencer, advertising and data rules

The Department of Consumer Affairs' endorsement guidelines of January 2023 require influencers to disclose any material connection with a brand, such as payment, free products, trips or discounts, using clear labels like 'advertisement', 'sponsored' or 'paid promotion'. Agencies managing such campaigns should build disclosure into briefs and contracts.

If you collect leads or run CRM for clients, you are handling personal data. Under the DPDP Rules 2025, most obligations apply from 13 May 2027, and agencies will usually act as data processors bound by client contracts. Keep consent records for lead-generation forms.

Ongoing compliance

Deduct TDS when you pay freelancers, influencers, contractors and rent, and file quarterly TDS returns. Benefits given to influencers in kind, such as free products they keep, can also attract TDS obligations under income-tax rules on business perquisites.

File GST returns, reconcile client TDS credits in Form 26AS, and complete ROC filings for the LLP or company. Renew the LUT each year if you serve foreign clients.

Pricing models and their tax effect

Retainers, project fees and performance-linked fees are all taxable services at 18%. Commission received from media owners or platforms for placing ads is also taxable, and the payer may deduct TDS on it as commission or under contract provisions depending on the arrangement.

If you bill overseas clients, the export of services conditions decide whether the fee is zero-rated. Where you also manage Indian ad spend for a foreign client, document the pure agent arrangement carefully, because the media portion is consumed in India and can be treated differently from your advisory fee.

Pitfalls agencies face

Clear statements of work, ad account ownership clauses and media billing terms prevent most disputes and tax notices, and they also help when a client relationship ends.

  • Charging GST only on the fee while buying media in the agency's own name.
  • Running influencer posts without visible disclosure labels.
  • Paying freelancers without deducting TDS.
  • Using client ad accounts without written authority and access terms.
