How to Choose and Check a Company Name Before Registration
How to choose a company name that MCA will approve: Rule 8 similarity tests, trademark checks, the ₹1,000 RUN fee and 20-day reservation window explained.
Short answer
Pick a distinctive name that is not identical or too similar to an existing company, LLP or registered trademark, and avoid restricted words without approvals. Search the MCA name database and the IP India trademark register, check domain availability, then reserve up to two options through RUN or SPICe+ Part A for ₹1,000. An approved name is held for 20 days.

What makes a name acceptable to MCA?
Section 4 of the Companies Act and Rules 8 and 8A of the Incorporation Rules bar names that are identical or too nearly resembling existing names. MCA ignores differences such as plural forms, spacing, punctuation, letter case, articles, word order and type of company when comparing. So 'Bright Sky Tech' and 'BrightSky Technologies' are likely to be seen as the same.
Names that are offensive, suggest government patronage, use protected emblems or include words like bank, insurance, stock exchange or mutual fund need regulator approval or are refused. Using another person's registered trademark without consent is also treated as undesirable.
How do you build a strong name?
The most approvable names combine a coined or unusual word with a descriptive word linked to the main object, for example a made-up brand word followed by 'Logistics'. Purely generic names ('Indian Software') or place-only names are routinely rejected. The descriptive word should match the main object clause in the MoA, or MCA may ask why it differs.
- Use a coined, distinctive first word
- Add an activity word that matches your objects
- Avoid names of famous brands and people without consent
- Skip restricted terms unless you have the licence
- Check the name works as a .in or .com domain
Where should you search before applying?
Check the MCA company and LLP master data for close matches, then search the trademark register in the classes for your products. A company name approval does not give trademark rights, and a trademark owner can later force a name change. Search domain and social media handles too, because a name you cannot use online has little value.
| Check | Where |
|---|---|
| Existing companies and LLPs | MCA portal name search |
| Registered and pending trademarks | IP India public search |
| Domain names | Domain registrars |
| Restricted words | Rule 8A and MCA guidance |
What happens after you apply?
The Central Registration Centre approves or rejects the application, sometimes with remarks. If both names fail you can resubmit once on the same application, otherwise a fresh fee applies. An approved name for a new company is reserved for 20 days, so prepare all incorporation documents before you apply. For a name change of an existing company, the reservation period is longer.
Common reasons names are rejected
MCA's remarks usually point to one of a handful of problems. Knowing them saves the ₹1,000 fee and the 20-day reservation clock. If your brand word is weak, add a distinctive coined element rather than piling on more generic words.
Explain the significance of each word in the application, especially coined words, so the examiner understands the logic. A one-line note that a word is invented and has no dictionary meaning often helps.
- Identical or phonetically similar to an existing company or LLP
- Clash with a registered trademark in a related class
- Too generic or only a place name
- Restricted words such as bank, insurance, fund or exchange without approval
- Activity word inconsistent with the proposed main object
- Names implying government connection, such as 'National' or 'Bharat' with official overtones

Common questions
Can I use a name similar to an existing trademark?
You should not. MCA can reject it and the trademark owner can seek a direction to change the name later. Search the register before applying.
What if MCA rejects both names?
You can resubmit once within the same application with new names. After that, a fresh application and fee are needed.
Should I trademark my company name?
Yes, if you will trade under it. A company name registration does not protect the brand against others using it as a trademark.
Can I reserve a name without incorporating?
You can reserve it, but it lapses after 20 days if SPICe+ Part B is not filed.
