FDI government route: meaning, sectors and approval
Under the FDI government route, foreign investment needs prior approval from the ministry concerned through the Foreign Investment Facilitation Portal.
Short answer
The FDI government route is the route under which a foreign investor needs prior approval from the Government of India before investing in an Indian company. Applications go through the Foreign Investment Facilitation Portal. It applies to specified sectors, above certain caps, and to investments covered by Press Note 3 of 2020.

When the government route applies
The consolidated FDI policy lists sectors where investment, or investment above a certain percentage, needs approval. Examples include parts of media and broadcasting, defence above the automatic limit, and multi-brand retail trading. Press Note 3 of 2020 also requires government approval for any investment from an entity of a country sharing a land border with India, or where the beneficial owner is situated in or is a citizen of such a country, even in sectors that are otherwise automatic. Some activities, such as lottery, gambling and betting, chit funds and Nidhi companies, are prohibited for FDI.
How the approval process works
The applicant files the proposal on the FIFP with documents on the investor, the investee, the structure and the funds. DPIIT forwards it to the concerned ministry, which consults security agencies and other departments where needed. Approval may come with conditions, and investment can be made only after approval. After allotment, the company reports in Form FC-GPR like any other FDI.
Why it matters for startups
Startups with investors who have any Chinese or other land-border-country beneficial ownership should plan for a government route application, which can take months and cannot be assumed to succeed. Ask investors early about their ultimate ownership, structure term sheets with approval as a condition precedent, and avoid accepting funds before approval.

Common questions
How long does government route approval take?
It varies by sector and case, and depends on inter-ministerial and security consultation, so no fixed timeline can be assumed.
Does Press Note 3 apply to small shareholdings?
The note covers investments by entities of land-border countries and those whose beneficial owner is from such countries. Its application to minority stakes depends on the beneficial ownership facts, so specialist advice is needed.
Is government route approval needed for transfers too?
Yes. A transfer of shares that results in ownership covered by the government route also needs approval.
