FDI automatic route: meaning, sectors and reporting
Under the FDI automatic route, foreign investors can invest in an Indian company without prior government approval, subject to caps and FEMA reporting.
Short answer
The FDI automatic route is the route under which a non-resident can invest in an Indian company without prior approval from the Government of India or the RBI, subject to the sectoral cap and conditions in the FDI policy and the FEMA (Non-debt Instruments) Rules, 2019. The company reports to the RBI after receipt.

How the automatic route works
Most sectors, including manufacturing, IT and software services, e-commerce marketplaces and many services, allow up to 100% foreign investment under the automatic route. The investor remits funds through banking channels, and the company issues equity shares, compulsorily convertible preference shares or compulsorily convertible debentures at a price not below fair value under FEMA pricing rules. The company reports the allotment to the RBI through the FIRMS portal in Form FC-GPR within 30 days and files the annual return on foreign liabilities and assets.
Exceptions to note
Even in automatic route sectors, some investments need government approval. Under Press Note 3 of 2020, any investment from an entity in a country sharing a land border with India, or where the beneficial owner is situated in or is a citizen of such a country, must go through the government route. Some sectors are partly automatic and partly government route, and a few, such as gambling and lotteries, are prohibited altogether.
Why it matters for startups
Startups raising from foreign funds or angels usually rely on the automatic route. Confirm the sector's entry route and cap, check the investor's ultimate beneficial ownership for land-border links, get a valuation certificate and file FC-GPR on time. Late reporting needs compounding or late submission fees and delays future rounds.
