What is SPICe+ and what does it replace?
SPICe+ stands for Simplified Proforma for Incorporating Company Electronically Plus. It is a web form on the MCA V3 portal that bundles what used to be several separate applications into one filing. A single submission can reserve the company name, incorporate the company, allot Director Identification Numbers (DIN) to up to three directors and generate PAN and TAN.
The form works with linked forms: e-MoA (INC-33), e-AoA (INC-34) and AGILE-PRO-S (INC-35). INC-9 declarations are generated from the data entered. Where an existing firm or LLP is registering as a company, URC-1 is also linked.
Part A and Part B: how the form is split
Part A is name reservation. You can propose up to two names in order of preference, pay ₹1,000 and the Central Registration Centre checks them for similarity with existing companies, LLPs and registered trademarks. Approval usually comes within a few working days.
Part B is the incorporation application. It captures capital structure, registered office, subscribers, directors, objects and the professional certificate. An approved name stays reserved for 20 days, so Part B must be submitted within that window or the name must be applied for again with a fresh fee. You can also file Part A and Part B together, but a rejected name then sends the whole application back.
Fees and stamp duty
No incorporation fee is charged where authorised capital is up to ₹15 lakh. Above that, the registration fee rises with authorised capital under the Companies (Registration Offices and Fees) Rules, 2014, and the portal computes it. Stamp duty on the MoA, AoA and INC-9 is state-specific and is paid electronically through the same form.
Budget separately for digital signature certificates for every subscriber and director, and for the professional's fee. These are not government charges and vary by provider. If authorised capital is set above ₹15 lakh at incorporation, both the MCA fee and stamp duty rise, so many founders start at ₹15 lakh or less and increase capital later through SH-7 when needed.
- Name reservation (Part A): ₹1,000
- Incorporation fee: nil up to ₹15 lakh authorised capital
- DIN for up to three directors: included in SPICe+
- Stamp duty: varies by state of the registered office
Documents you need before you start
Collect self-attested PAN and identity proof for each Indian subscriber and director, plus address proof that is not older than two months. Foreign nationals need a passport and notarised or apostilled address proof. Each director also needs a recent photograph.
For the registered office, attach a utility bill not older than two months and a no-objection certificate from the owner where the property is not in the company's name. Rent or lease deeds help where the premises are rented. If the correspondence address differs from the registered office, INC-22 must be filed within 30 days of incorporation.
Common reasons for resubmission or rejection
Most SPICe+ objections are avoidable. The Registrar looks for consistency between the form, the linked forms and the attachments, so a mismatch in one field can hold up the whole set. A practising CA, CS or CMA must certify the form, and that professional is accountable for the accuracy of what is certified.
- Proposed name too close to an existing company, LLP or registered trademark
- Address proof or utility bill older than two months
- Director name differs from the name on PAN
- Objects in the e-MoA that do not match the chosen NIC activity code
- Missing owner NOC for the registered office
- Part B not filed within the 20-day reservation period
What happens if information is false?
There is no late fee as such, because the form is the application itself. However, Section 7(6) of the Companies Act, 2013 makes anyone who furnishes false or incorrect particulars, or suppresses material information, at the time of incorporation liable for action under Section 447 (fraud). The Tribunal can also pass orders against a company incorporated on false information. Refogo's partner professionals can prepare and file SPICe+ for a fixed fee.

Common questions
How long is a name reserved under SPICe+ Part A?

Is company registration free for capital up to ₹15 lakh?
The MCA incorporation fee is nil where authorised capital does not exceed ₹15 lakh. Stamp duty on the MoA and AoA is still payable according to the state of the registered office, and DSC and professional costs are separate.
How many directors can get a DIN through SPICe+?
Up to three proposed directors without a DIN can be allotted one in the SPICe+ application. Any additional directors must already hold a DIN.
Is GST registration mandatory in SPICe+?
No. GSTIN is optional in AGILE-PRO-S. EPFO and ESIC registration, PAN, TAN and a bank account are part of the bundle.
