LLP Form 11 (Annual Return): due date, fees, certification and penalties
LLP Form 11 is the annual return due by 30 May each year. See the fee by contribution, late fee multiples, CS certification rules and filing steps.
Short answer
LLP Form 11 is the annual return every LLP files with the Registrar within 60 days of the financial year end, that is by 30 May. It reports partners, designated partners, contribution and changes during the year. The fee ranges from ₹50 to ₹600 by contribution, and LLPs above set thresholds need a company secretary certificate.

What is LLP Form 11?
Form 11 is the annual return of an LLP under section 35 of the LLP Act, 2008. Unlike Form 8, it is not about money. It is a snapshot of who the partners are, how much each has contributed, and what changed during the year.
It records details of partners and designated partners, their contribution, any body corporate partners and their nominees, and summary information on penalties or compounding during the year. The return for FY 2025-26 was due on 30 May 2026.
How Form 11 differs from Form 8
Form 11 reports the people and their contribution; Form 8 reports the money. Form 11 is due by 30 May and does not need audited accounts, while Form 8 is due by 30 October and requires final accounts and professional certification. Both are mandatory every year.
Who files and who certifies?
Every LLP files Form 11, including dormant LLPs. A designated partner signs it with a DSC. There is no exemption for LLPs that had no business, no bank transactions or no change in partners during the year.
Rule 25 requires certification by a practising company secretary only for larger LLPs, those with turnover above ₹5 crore or contribution above ₹50 lakh. Other LLPs file with a declaration by designated partners. Confirm the threshold against the current form instructions before filing, as the V3 form validates this automatically.
Filing fee and additional fee
The normal fee follows the contribution slab in Annexure A. Late filing attracts additional fee as a multiple of the normal fee under the LLP (Amendment) Rules, 2022, effective 1 April 2022. Small LLPs, those with contribution up to ₹25 lakh and turnover up to ₹40 lakh, pay lower multiples.
| Total contribution | Normal filing fee |
|---|---|
| Up to ₹1 lakh | ₹50 |
| ₹1 lakh to ₹5 lakh | ₹100 |
| ₹5 lakh to ₹10 lakh | ₹150 |
| ₹10 lakh to ₹25 lakh | ₹200 |
| ₹25 lakh to ₹1 crore | ₹400 |
| Above ₹1 crore | ₹600 |
Late fee table for Form 11
Beyond 360 days the per-day component keeps running with no cap, so an LLP that skips several years can face a large bill when it finally regularises. Penalties under section 35 are separate from this additional fee and can be imposed through adjudication by the Registrar.
| Delay after due date | Small LLP | Other LLP |
|---|---|---|
| Up to 15 days | 1x normal fee | 1x normal fee |
| 15 to 30 days | 2x | 4x |
| 30 to 60 days | 4x | 8x |
| 60 to 90 days | 6x | 12x |
| 90 to 180 days | 10x | 20x |
| 180 to 360 days | 15x | 30x |
| Beyond 360 days | 15x + ₹10 per day | 30x + ₹20 per day |
Common mistakes
Many LLPs forget Form 11 because the accounts are not ready by May. That is a mistake: Form 11 does not need audited accounts, so delay is rarely justified. Other errors include partner details that do not match the latest Form 4, omitting body corporate nominees, and filing with an expired DSC.
If a partner change happened during the year but Form 4 was never filed, file Form 4 first. The annual return should match the Registrar's records. Mismatches between Form 11 and earlier filings are a common trigger for Registrar queries.
- Partner and contribution data not matching Form 3 and Form 4
- Missing CS certificate where thresholds are crossed
- Assuming dormant LLPs are exempt
What happens if Form 11 is not filed?
Apart from the additional fee, section 35 provides a penalty of ₹100 per day of default, capped at ₹1 lakh for the LLP and ₹50,000 for each designated partner, halved for small and start-up LLPs. Continued non-filing can lead the Registrar to treat the LLP as not carrying on business and initiate strike-off, and designated partners may face scrutiny in other filings.
